Terms and Conditions of Sales
These Terms and Conditions of Sales apply to purchases of products from Nuven Medica. By submitting a purchase order or confirming an order with us, the customer agrees to the terms stated below.
1. Quotations and Orders
All prices, product details, and availability stated in our quotations are subject to confirmation. Orders are processed only after we receive and accept an official purchase order or written order confirmation from the customer.
Nuven Medica reserves the right to accept or reject any order at its discretion.
2. Pricing
Prices are quoted in SGD unless otherwise stated. Prices may exclude GST, delivery charges, installation charges, training, or other applicable fees unless clearly stated in the quotation.
3. Payment Terms
Payment terms shall be stated in the quotation, invoice, or agreed separately in writing. Full payment must be made according to the agreed payment terms.
Nuven Medica reserves the right to withhold delivery, installation, or services if payment is overdue or if payment terms have not been met.
4. Delivery Lead Time
Delivery will be arranged after receipt and acceptance of the customer’s purchase order.
If the product is available in stock, delivery is typically arranged within 2 working days after the purchase order is received.
If the product is not available in stock, the estimated delivery lead time is approximately 10 working days, subject to supplier availability, shipment schedules, and other factors beyond our control.
All delivery timelines are estimates and may vary depending on stock availability, order quantity, logistics arrangements, and regulatory or customs requirements where applicable.
5. Delivery and Acceptance
The customer is responsible for ensuring that the delivery address, contact details, and receiving arrangements are accurate.
Products shall be deemed accepted upon delivery unless the customer notifies Nuven Medica in writing of any visible damage, missing items, or delivery issues upon delivery.
6. Installation and Training
Where installation, demonstration, or training is required, this must be stated in the quotation or agreed separately in writing. Additional charges may apply unless included in the quoted price.
7. Product Availability
Product availability is subject to stock levels and supplier confirmation. Nuven Medica reserves the right to update product models, specifications, packaging, or availability without prior notice.
If an ordered product is unavailable, we may offer an alternative product, revised delivery timeline, or other suitable arrangement.
8. Warranty
Products are covered by the manufacturer’s warranty or the warranty terms stated in the quotation or invoice. Warranty coverage may vary depending on the product type, brand, and supplier conditions.
Warranty does not cover damage caused by misuse, mishandling, unauthorised repairs, improper storage, accidents, normal wear and tear, or failure to follow the product instructions for use.
9. Returns and Exchanges
Returns or exchanges are accepted only with prior written approval from Nuven Medica.
Products must be unused, in original condition, and returned with all original packaging, accessories, manuals, and documentation. Certain medical devices, consumables, sterile products, or specially ordered items may not be eligible for return or exchange due to hygiene, safety, or supplier restrictions
10. Order Cancellation
Order cancellations must be requested in writing and are subject to approval by Nuven Medica.
Cancellations may not be accepted for specially ordered items, customised products, products already delivered, or products already shipped by our supplier.
11. Limitation of Liability
Nuven Medica shall not be liable for any indirect, incidental, special, or consequential losses arising from product use, delivery delay, order cancellation, or reliance on product information provided on our website or quotation.
Customers and healthcare professionals are responsible for using products according to the official product manuals, instructions for use, and applicable clinical guidelines.
12. Force Majeure
Nuven Medica shall not be responsible for delays or failure to fulfil an order due to events beyond our reasonable control, including supplier delays, shipping disruptions, customs delays, regulatory requirements, natural disasters, labour shortages, or other unforeseen circumstances.
13. Governing Law
These Terms and Conditions of Sales shall be governed by the laws of Singapore.
